Any method of appointment outside the general meeting is invalid.

DIRECTOR’S BOND AND OBLIGATIONS

Directorship is a personal and non-delegable role. Voting by correspondence is not permitted. Each director has one vote, and any agreement altering this rule is null and void.

Before assuming office, directors must post a bond to secure their responsibilities. This bond may consist of shares from the company (if the director is a shareholder), deposited in a bank.
